One of our immediate goals is to legally incorporate the Investor Suffrage Movement as a non-profit organization. We need to write bylaws, prepare filings and recruit a board. We are currently seeking volunteers for a board nominating committee and a bylaws committee.

The nominating committee will identify and recruit initial board members from various constituencies — social activists, labor, the corporate governance movement, investor relations professionals, the investment community, etc. Accordingly, the nominating committee needs to have a diverse membership that, in aggregate, has relationships with each of these communities.

The bylaws committee will draft bylaws and make necessary filings to incorporate the movement as a non-profit. The bylaws will have to handle the fact that the proxy exchange will go through two phases:

1. formation, and

2. ongoing operation in perpetuity, once the formation phase is complete.

Bylaws will be drafted for the first phase with a provision that they will be amended to suit the second phase, when the exchange becomes fully operational.

Another challenge will be making the exchange truly international, able to operate across different legal (i.e. securities regulatory) jurisdictions.
